Draft — not yet reviewed by a lawyer
This describes how AffGo actually works today, written from the product itself, and every [PLACEHOLDER] below needs filling in. It is not legal advice and must be reviewed before launch. Until then these pages are excluded from search engines.
The agreement
These terms are between you and [LEGAL ENTITY NAME] (“AffGo”, “we”), registered in [COUNTRY]. By creating an account or using AffGo you accept them. If you are agreeing on behalf of a company, you confirm you may bind it.
What AffGo does
AffGo is software for running an affiliate program. We create tracking links, record clicks and conversions, decide which creator earned a commission, calculate what is owed, and produce the records both sides need. Brands list programs; creators apply to them and promote them.
Money: we are not in the middle
AffGo never holds, receives or transmits money between a brand and a creator. A commission calculated by AffGo is an amount the brand owes the creator under the brand's own program terms. The brand pays the creator directly, by whatever method they have agreed, and records the payment reference in AffGo.
This has consequences worth stating plainly:
- AffGo is not a payment processor, an escrow service, or a party to that payment.
- If a brand does not pay, AffGo can show that it is overdue and remind them, but cannot pay the creator on their behalf and is not liable for the debt.
- We charge brands a subscription for the software. We take no percentage of any commission, and creators pay us nothing.
If you run a program (brands)
- Your program terms — commission, cookie window, what counts as a valid sale — are yours. State them accurately: creators rely on them, and AffGo publishes them on your program page.
- Pay approved commissions when they are due, and record the payment so the creator can see it. Do not approve an affiliate you do not intend to pay.
- Do not use AffGo to track anything unlawful, or to collect data you have no right to collect. The tracking you install on your site is your responsibility, including saying so in your own privacy policy.
- Keep your account and API keys secure. Anything done with your keys is treated as done by you.
If you promote a program (creators)
- Follow each program's terms, and the advertising rules where you are — including disclosing that a link is an affiliate link where the law requires it.
- Do not refer yourself, place fake orders, bid on the brand's trademarks where its terms forbid it, or generate clicks you know are not genuine. AffGo flags this and brands may withhold commissions earned that way.
- Give accurate payment details. They are encrypted, and only shown to you and the brand paying you.
How commissions are decided
A commission is created when a conversion is attributed to a creator under the program's rules in force at that time. Changing a rule later never rewrites commissions already earned.
Commissions stay pending through the brand's refund window before they become payable. If the underlying order is refunded, in whole or in part, the commission is clawed back with a matching correction: an existing commission is never edited away, so the history always shows what happened.
A brand may withhold or reverse a commission it can show was earned through fraud or a breach of its program terms. Disputes about a specific commission are between the brand and the creator; AffGo provides the record both sides need.
Plans, trials and billing
Paid plans are billed in advance through Stripe at the price shown when you subscribe. Plan limits are applied when you act — approving an affiliate, creating a program — so reaching a limit stops the next addition rather than removing anything you already have.
New workspaces may get a free trial of a paid plan without entering a card. When it ends the workspace moves to the free plan unless you subscribe. Nothing is deleted: your programs, affiliates, links and commission records remain.
If a payment fails we keep your plan's features for a short grace period and tell you. After that the workspace moves to the free plan. You can cancel at any time and keep access until the end of the period you have paid for. Refunds: [REFUND POLICY].
Your data and ours
Your program data is yours. You can export it from the dashboard while your account is open, and we handle personal data as described in the privacy policy. The software, its design and its content are ours, and nothing here transfers ownership of it.
Suspension and ending the agreement
You can close your account at any time. We may suspend an account that is being used for fraud, that puts other users at risk, or that has not paid — and we will say which. Where it is reasonable to warn you first, we will.
When an account closes, commission and payment records are kept where we are required to keep them. What is owed between a brand and a creator remains owed; closing an AffGo account does not settle it.
Warranties and liability
AffGo is provided as it is. We work hard on accuracy — tracking, attribution and the commission maths are the product — but we do not warrant uninterrupted service or that every conversion will be attributed, since that depends partly on the brand's own site and on visitors' browsers.
[LIABILITY CAP AND EXCLUSIONS — needs legal drafting]. Nothing in these terms limits liability that cannot lawfully be limited.
Changes, law and contact
We may update these terms; if a change matters we will tell you before it takes effect, and continuing to use AffGo after that means accepting it. These terms are governed by the law of [GOVERNING LAW], and disputes go to the courts of [JURISDICTION].
Contact: [LEGAL CONTACT EMAIL].
